Hadir Helal is a Managing Partner at Helal & Partners Law Firm and Helal & Fraser International Law Firm. With over 19 years of experience, she is a distinguished corporate and commercial lawyer, specializing in general commercial contracts, corporate governance documents, negotiations, and complex commercial transactions, underpinned by a deep understanding of securities law. Hadir excels in crafting legally precise commercial contracts, structuring corporate entities, and ensuring legal compliance and commercial viability.

Hadeer Helal has built a distinguished legal career, providing expert counsel to organizations across a broad range of industries, including IT, ICT, IPR, banking, real estate, manufacturing, technology, and energy. Her extensive experience encompasses both Egyptian and international sectors, having served as a legal counsel at a prominent UK-based law firm in London, which enhanced her global legal perspective. Hadeer has advised several government and quasi-government entities and currently serves as a legal advisor on a key project for Egypt's New and Renewable Energy Agency (NREA), contributing to the Egypt Green Corridor Initiative.

She holds influential board positions, including on the advisory board of Emaar Misr for Development Company and the Holding Company for Tourism and Hotels. Additionally, she is a board trustee for the Association for Electricity Market Development, where she plays a critical role in advancing innovation and efficiency in the energy sector. Hadeer’s broad expertise and leadership have made her a key figure in navigating complex legal and operational challenges across various industries.

Hadeer Helal has represented clients in a wide range of legal and business transactions across multiple jurisdictions, including negotiations, tenders, agreements, litigation, and arbitration with both governmental and quasi-governmental entities such as the General Authority for Urban Communities, the General Authority for Tourism Development, the General Authority for Industrial Development, and the Ministry of Industry and Foreign Trade.

Her experience includes representing clients in due diligence and acquisition processes involving real estate, machinery, and companies across various sectors. She has worked extensively with medical equipment manufacturing companies, real estate developers, ICT companies, and clients in the renewable energy sector, advising on matters such as software licensing, technology transfer, and the New Feed In Tariff scheme.

Hadeer has also handled international patent registration procedures with WIPO, USPTO, and EPO, dealing with financing, patent registrations, ownership transfers, and licensing. Her expertise extends to negotiating and finalizing complex agreements, including funding agreements, acquisition agreements, joint ventures, and shareholders' agreements. She has contributed to governmental auctions and represented top real estate developers in major projects, as well as foreign universities in establishing branches in Egypt.

In her diverse portfolio, Hadeer has advised on company restructuring, business model optimization, and the negotiation and drafting of commercial agreements such as alliances, franchising, and licensing. She has also represented foreign and local companies in oil and gas, renewable energy, and waste-to-energy projects, as well as in arbitration disputes before the Cairo Regional Center for International Commercial Arbitration. Additionally, she successfully resolved a dispute with the tax authority while acting as legal counsel for an oil and gas company.
